1. Agreement to Terms

Welcome to DenimStitch Creative LLC ("Company," "we," "us," or "our"). These Terms of Service ("Terms") govern your access to and use of our website, www.denimstitchcreative.com (the "Site"), and any services provided through our Client Portal (collectively, the "Services").

Please read these Terms carefully. By accessing or using our Site, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you must not access or use the Site.

2. Intellectual Property Rights

Unless otherwise indicated, the Site and all its content are our proprietary property. This includes all source code, databases, functionality, software, website designs, audio, text, photographs, graphics, and our portfolio of videos (collectively, the "Content"), as well as the trademarks, service marks, and logos contained therein (the "Marks"). The Content and Marks are provided for your information and personal, non-commercial use only. You are granted a limited license to access the Site but are strictly prohibited from:

Downloading, copying, or saving any of our portfolio videos.
Re-posting, sharing, or embedding our portfolio videos without our express written permission.
Using our logos, trademarks, or branding in any way.
Using any of our Site Content for your own commercial purposes.
Copying, aggregating, or data-mining any Content from our Site.

3. User Accounts (Client Portal)

To access certain features of our Services, such as the Client Portal, you may be required to register for an account.

Account Responsibility: You agree to provide true, accurate, and complete information. You are solely responsible for maintaining the confidentiality of your account password and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.
Account Sharing: Your account is for your use alone. You are strictly prohibited from sharing your account login credentials with any other person or entity.
Account Termination: We reserve the right to suspend or terminate your account and refuse any and all current or future use of the Services, at our sole discretion, if you violate any of these Terms or engage in any activity that we deem harmful to the Site or other users.

4. User-Generated Content (UGC)

Our Client Portal allows you to upload, submit, store, and send content, such as scripts, brand assets, feedback videos, images, or music files ("User-Generated Content" or "UGC").

License to Us: By uploading UGC, you grant us a worldwide, non-exclusive, royalty-free license to use, host, store, reproduce, modify, and create derivative works (such as edits or changes we make as part of your project) for the limited purpose of operating, promoting, and delivering our video production services to you.
Your Responsibility: You represent and warrant (promise) that you own or have all necessary rights, licenses, and permissions to all UGC you submit and that your UGC does not infringe on the copyright, trademark, privacy, or other intellectual property rights of any third party.
Indemnification: You agree to indemnify and hold us harmless from any and all claims, damages, or legal fees arising from a breach of this warranty. (This means if you provide us with copyrighted music and we get sued, you agree to cover our legal costs).

5. Prohibited Activities

You may not access or use the Site for any purpose other than that for which we make the Site available. You specifically agree not to:

Use the Site for any illegal or unauthorized purpose.
Harass, annoy, intimidate, or threaten any of our employees or agents.
Attempt to bypass any security measures of the Site or gain unauthorized access to the Client Portal, servers, or networks.
Upload or transmit (or attempt to upload or transmit) viruses, Trojan horses, or other malicious material.
Use any automated system, such as "bots," "scrapers," or "data mining" tools, to systematically retrieve data from the Site.
Decipher, decompile, disassemble, or reverse engineer any of the software comprising or in any way making up a part of the Site.
Attempt to impersonate another user or person.
Use the Site or our Content as part of any effort to compete with us.

6. Disclaimer of Warranties

The Site is provided on an "as-is" and "as-available" basis. You agree that your use of the Site and our Services will be at your sole risk. To the fullest extent permitted by law, we disclaim all warranties, express or implied, in connection with the Site and your use thereof, including, without limitation, the implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We make no warranties that the Site will be error-free, secure, or uninterrupted.

7. Limitation of Liability

In no event will we or our directors, employees, or agents be liable to you or any third party for any direct, indirect, consequential, exemplary, incidental, special, or punitive damages arising from your use of the Site or our Services, even if we have been advised of the possibility of such damages.

8. Governing Law and Dispute Resolution

These Terms and your use of the Site are governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law principles.

Informal Resolution: To expedite resolution and control the cost of any dispute, you agree to first attempt to negotiate any dispute (except those disputes expressly provided below) informally for at least thirty (30) days by contacting us at hello@denimstitchcreative.us.
Binding Legal Action: If the parties are unable to resolve a dispute through informal negotiations, all legal proceedings arising out of or in connection with these Terms shall be brought in the Superior Court of California, County of San Diego, North County Division. You and we hereby consent to and waive all defenses of lack of personal jurisdiction and forum non conveniens with respect to venue and jurisdiction in such state and federal courts.

9. Changes to These Terms

We may modify these Terms at any time. We will post the revised Terms on this Site and update the "Last Updated" date. Your continued use of the Site after such changes constitutes your acceptance of the new Terms.
